TRUSTEE

Turner Securities’ Secured Notes are issued under a Debenture and Security Trust Deed.

The Trustee,  Melbourne Securities Corporation Limited, holds a registered Floating Charge over the assets and undertakings of Turner Securities Ltd on behalf of all Secured Notes holders.

The Trust Deed creates a trust whereby the Trustee holds security and rights and powers of enforcement against Turner Securities on trust for the Investors.

Overview of the Trust Deed:

• Requires Turner Securities to provide specified information, certificates, reports and notices to the Trustee.

• Confirms the Company will create and maintain a register of all Secured Notes holders.

• Details the types of mortgage security lending the Company will undertake.

• Will not permit Turner Securities to advance money to any related entity.

• Details the capacity and limitations on the liability of the Trustee.

• Sets out how fees payable to the Trustee are determined.

• Precludes Turner Securities from causing or permitting any encumbrances on its property other than those that are specified in the Trust Deed or that arise by the operation of law or statute.
